The short version
- Every project starts with a fixed quote. The quote says what is included, the price and how payment works.
- Builds are one-off. Care is monthly and optional, and you can stop it with notice.
- Once you've paid, you own what I made for you. Tools and accounts stay in your name.
- AI automations follow rules you approve, and you stay responsible for what your business sends.
1. Who these terms are with
These terms are between you (the client) and Vishal Chopde, trading as Samarth AI Studio, Maharashtra, India, Udyam registration UDYAM-MH-04-0221175 ("I", "me"). They apply to every Build and Care plan unless a signed quote or agreement says otherwise. If the quote and these terms disagree, the quote wins.
2. Quotes and scope
After the first call I send a fixed quote that lists what will be designed and built, the price, the payment schedule and an estimated timeline. Work starts when you accept the quote in writing (email is fine) and any first payment in the quote is received.
Anything not in the quote is a change. I will tell you before doing it whether it fits the existing price or needs a short separate quote. Nothing extra is billed without your written approval.
3. Builds
A Build includes clickable screens you approve before anything gets built, then the n8n, AI and tool connections tested with real data, a walkthrough video, written docs and a support window after launch. The length of the support window is in the quote. During it I fix anything I built that doesn't work as agreed, at no extra cost.
4. Care plans
Care is a monthly plan that covers monitoring, fixes for anything I built, small changes and a monthly check-in call. The quote sets what counts as a small change. Care is billed monthly in advance and you can cancel with notice before the next billing date; it stops at the end of the month already paid.
5. Payment
Prices are in US dollars unless the quote says otherwise. Invoices are due within the time stated on them. Payment processing fees, bank charges and any taxes that apply in your country are as stated in the quote. If an invoice is more than 14 days late, I may pause work until it is paid.
6. What I need from you
Timely answers, access to the accounts and tools the work needs, and content you have the right to use. Delays on your side move the timeline by the same amount.
7. Who owns what
When the related invoice is paid in full, you own the designs, code, workflows and content I made specifically for you, and you can use and change them however you like. Third-party tools, libraries and fonts remain under their own licences. I keep ownership of my general know-how and of reusable pieces I made before your project, and you get a permanent licence to use them within your project.
Unless you tell me not to, I may show the finished work in my portfolio. Confidential information is never shown.
8. Your accounts and running costs
Automations and apps run in accounts in your name wherever possible (for example n8n, OpenAI, Twilio, WhatsApp Business, Airtable, Supabase, hosting). Usage fees for those services are billed to you by the providers and are not part of my price.
9. AI automations
AI models can make mistakes. Every automation I build follows rules you approve, logs what it does and sends anything unusual to a person. You are responsible for checking that the messages your business sends comply with the laws and platform rules that apply to you, including consent for WhatsApp, SMS, calls and cold email, and data protection law. I will flag anything I think is risky, but I am not your legal adviser.
10. Confidentiality
Both of us keep the other's non-public information confidential and use it only for the project. This continues after the project ends.
11. Liability
I do the work with reasonable skill and care. To the extent the law allows, my total liability for any claim is limited to the fees you paid me in the 3 months before the claim, and neither of us is liable for indirect or consequential loss, such as lost profits or lost data. Nothing here limits liability that cannot be limited by law.
12. Ending a project
Either of us can end a project with written notice if the other seriously breaches these terms and doesn't fix it within 14 days. You pay for work done up to the end date, and I hand over everything finished so far once that is paid.
13. Law and disputes
These terms are governed by the laws of India. We will first try to resolve any dispute by talking. If that doesn't work within 30 days, the courts of Maharashtra, India have jurisdiction, unless the law of your country gives you a right to bring a claim where you live.
14. Using this website
The content on this site, including the concept sites under /work/, is my work. You are welcome to look, link and share. Please don't copy the designs or code into your own projects without asking. Names, brands and data in the concept sites are made up for the demos.
